TERMS AND CONDITIONS OF SALE

1. Acceptance of Terms. All sales by Doggie View and you the buyer (“Buyer”) of any of the consulting packages described on our website, doggieview.com (the “Products”) will be governed by these terms and conditions (“Terms of Sale”).

THESE TERMS OF SALE SHALL BE THE COMPLETE AND EXCLUSIVE STATEMENT OF THE TERMS OF AGREEMENT BETWEEN BUYER AND DOGGIE VIEW.

No addition to or modification of these Terms of Sale will be effective unless made in writing and signed by Doggie View.

2. All Sales Final. Buyer acknowledges and agrees that the Products are being sold “ALL SALES ARE FINAL” and are NON-REFUNDABLE AND NON-RETURNABLE, with no warranty as to fitness for a particular use, express or implied. All payments, including deposits, shall be NON-REFUNDABLE. Once the consulting portion of the Products have commenced and/or the written portion of the Products have been shipped, the particular package Buyer purchases can not be exchanged or downgraded to a lower priced package.

3. Shipping. Shipping and delivery dates are estimates only, and in no event shall Doggie View be liable for any delay in delivery or assume any liability in connection with shipment.

4. No Warranty. Doggie View makes no warranties as to the likelihood of success of any business Buyer undertakes while relying on the written materials distributed with the Products. Buyer shall hold Doggie View blameless for any liability, including, but not limited to, materials or equipment purchased or expenses incurred in connection with starting a business or attempting to start a business as a result of relying on the information in the Products.

DOGGIE VIEW SPECIFICALLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, TERMS AND CONDITIONS OF SALE ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.


5. Terms of Use of Written Materials. Buyer acknowledges that the written materials sold as part of the Products are strictly for informational purposes only. Nothing in these Terms of Sale or the sale of the Products shall imply any license or other rights with respect to any intellectual property rights, including copyrights, in the Products. Buyer acknowledges that the Products will be used for personal purposes only. Buyer agrees that it will be allowed to make copies of the materials strictly for personal use only. Any copying for third parties or distribution of the Products or any portion of the Products for profit or otherwise, shall be strictly prohibited.

6. Terms of Use of Onsite Consulting. Although the onsite consulting portion of the Products is sold “AS IS” and is non-refundable, there is no expiration as to when the consulting time provided for under a particular package may be used. However, if you do not have a location secured within two (2) years Doggie View will no longer hold the specific location you requested. If you are not actively pursuing a location and in contact with Doggie View for six (6) months the location you requested will no longer be held in the area of your choice. Doggie View will then have the the right to sell additional affiliates in your area. You will still receive consulting from Doggie View, but will loose the priority to the location you requested. There is no additional money paid to Doggie View during the two year agreement. If it takes longer then two years for your day care to open then their will be an additional $1,000 fee added to the affiliate balance.

7. Miscellaneous.

a. Waiver of a breach by the other party of any provision of these Terms of Sale shall not be deemed a waiver of future compliance therewith, and such provision shall remain in full force and effect.

b. If any provision of these Terms of Sale is held invalid by any U.S. law or regulation or by any U.S. court having valid jurisdiction, such invalidity will not affect the enforceability of other provisions.

c. These Terms of Sale and Buyer’s rights hereunder may not be assigned by Buyer without the prior written consent of Doggie View, and any unauthorized assignment by Buyer shall be void.

d. These Terms of Sale shall be governed by the laws of the State of California without reference to any conflict of law rule that would cause the application
of the laws of any other jurisdiction

e. These Terms of Sale constitute the entire agreement between Buyer and Doggie View with respect to Buyer’s purchase of the Products and supersedes all prior agreements and understandings with respect to such purchase and may not be changed or amended, or superseded by conflicting terms and conditions submitted by Buyer, except by a written instrument signed by an authorized Doggie View representative.
